TERMS OF SERVICE

(HEREINAFTER THE "TERMS") OF THE HERO WARS: ALLIANCE PROJECT (HEREINAFTER THE "PROJECT").

1. INTRODUCTION AND ACCEPTANCE

1.1 Welcome to Hero Wars: Alliance!

Thank you for your interest in Hero Wars: Alliance (the "Project"). The Project is a product and/or service of NEXTERS GLOBAL LTD ("NEXTERS," "we," "us," "our"), intended to provide a secure and engaging gaming experience (the "Services").

PLEASE READ CAREFULLY BEFORE USING THE GAME OR ANY RELATED SERVICES OF THE PROJECT. YOUR USE OF THE PROJECT AND ANY SERVICES PROVIDED THROUGH THE PROJECT IS SUBJECT TO THESE TERMS. YOU AGREE TO BE BOUND BY THE TERMS PRESENTED BELOW. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PROJECT IN ANY WAY OR FOR ANY PURPOSE WHATSOEVER.

The Project and the Services may be made available through supported mobile applications, supported browser-based or web-based versions, related websites, account-linking and authentication flows, customer support channels, and any other features, content, or environments that we make available from time to time. Unless we expressly state otherwise, references in these Terms to the "Project" and the "Services" include all such versions, channels, and related functionality.

1.2 Legal Capacity and Age Requirements

  • Age Restriction: If you are under the age of 18 (or any higher age of digital consent in your jurisdiction), you must obtain explicit parental or guardian consent before using the Project. Parents or guardians should review our Parent's' Guide and Privacy Policy for instructions on granting consent.
  • Legal Eligibility: You represent and warrant that you are not prohibited from receiving Services under the laws of any applicable jurisdiction (e.g., due to export controls or sanctions), and that you comply with all relevant trade or economic sanctions. You may not use the Project if you are a person or entity under any embargo, trade restriction, or regulation prohibiting your use of our Services.
  • Compliance With Third-Party Platforms: If you access the Project through a social network or another third-party platform, you agree to abide by that platform's terms of service and privacy policy, in addition to these Terms.
  • Browser Version and Cross-Platform Access: Where available, you may access the Project across supported mobile and browser/web environments using the same Account or linked credentials. Different versions may have different features, offers, payment options, availability, compatibility requirements, or legal notices, and some functionality may depend on browser settings, cookies, local storage, network conditions, region, or the rules of relevant third-party platforms or payment providers.
  • Public or Shared Devices: If you use the browser-based or web version on a shared or public device, you are responsible for logging out, ending any remembered-browser access, and otherwise protecting your Account and session.

1.3 Privacy Policy

Your privacy is critically important to us. Our current Privacy Policy (the "Policy") explains how we collect, process, store, and protect your personal data. By using the Project, you acknowledge and agree to the practices described in our Privacy Policy, which is incorporated herein by reference.

If you access the browser-based or web version or related websites, an applicable Cookie Policy or other notice regarding cookies or similar technologies may also apply to your use of those features, where required by applicable law.

1.4 Updates to Terms

We reserve the right to modify these Terms at any time. We will post updated versions of the Terms at or near the same link or location where you originally accessed them. Continued use of the Project after the updated Terms are posted constitutes your acceptance of those changes.

2. INTELLECTUAL PROPERTY RIGHTS

2.1 Ownership of the Project and Services

All intellectual property rights in or related to the Project—such as artwork, graphics, characters, storylines, software, code, user accounts, virtual assets, sound recordings, animation, themes, and concepts—are owned by or licensed to NEXTERS. Your use of the Project does not transfer or grant you any ownership interest or rights to these assets except for the limited license rights expressly stated in these Terms.

2.2 Limited License

Subject to your strict compliance with these Terms and our Privacy Policy, NEXTERS grants you a non-exclusive, non-transferable, revocable, personal, and limited right to access and use the Project solely for your private, non-commercial purposes.

2.3 User Accounts

All user accounts ("Accounts") remain the property of NEXTERS. You may not sell, transfer, gift, or otherwise assign your Account to any third party. Any such attempt is void and may result in suspension or termination of your Account.

2.4 Browser Version, Authentication and Session Security

Where supported, we may offer browser or web access to the Project, including login or account-linking methods such as QR codes, approvals from a mobile application, one-time verification flows, remembered-browser access, or similar authentication methods. You are responsible for keeping your Account credentials, QR codes, approval prompts, login confirmations, devices, browser sessions, and any remembered-browser access secure, and for all activity conducted through them.

2.5 Cross-Platform Progress, Synchronization and Simultaneous Use

Where supported, we may synchronize your Account, game progress, settings, history, rankings, social or guild data, purchased entitlements, and other Project-related data across supported versions of the Project. Synchronization may not be immediate and may be delayed, limited, unavailable, or different between versions for technical, security, legal, regional, platform, payment, browser, or test-environment reasons. Simultaneous or repeated access to the same Account from multiple devices, browsers, or versions may be restricted and may cause one or more sessions to terminate, restart, or fail to synchronize, and we are not responsible for any resulting interruption, desynchronization, or loss of unsaved activity except as required by applicable law.

3. INTRA-PROJECT VALUES AND VIRTUAL ITEMS

3.1 Definition

  • Intra-Project Values refer to in-game currencies or point systems that can be acquired or earned within the Project.
  • Virtual Items refer to digital objects, enhancements, or functionalities available within the Project (e.g., skins, power-ups, characters, etc.).

3.2 License Grant

If the Project offers you the ability to purchase or earn Intra-Project Values and/or Virtual Items, NEXTERS grants you a non-exclusive, non-transferable, revocable, limited license to use them solely within the Project and for personal, non-commercial use, subject to these Terms.

3.3 No Monetary Value

Neither Intra-Project Values nor Virtual Items represent or confer any real-world currency or property rights. They cannot be exchanged for real money or any monetary equivalent, except as required by applicable law.

3.4 Purchase Terms

The price, billing period, and other terms for Intra-Project Values or Virtual Items will be disclosed within the Project before you complete a purchase. By proceeding with a purchase, you agree to the disclosed terms, including any applicable taxes or fees.

3.5 Change in Value

NEXTERS may adjust the value, cost, or availability of Intra-Project Values and Virtual Items at its sole discretion to reflect technical, legal, or economic factors. You acknowledge such adjustments do not entitle you to compensation.

3.6 Platform-Specific Purchase Terms

Purchases may be processed by us, the relevant app store, platform provider, payment intermediary, or other authorized payment provider, depending on the version of the Project or the purchase method you use. Prices, currencies, taxes, billing methods, availability of offers, bonuses, subscriptions, passes, bundles, or promotions, and other commercial terms may vary by platform, region, browser, version, device, payment provider, or test environment. Your purchase may also be subject to the terms, policies, and technical limitations of the relevant platform provider or payment intermediary.

3.7 Cross-Platform Availability of Purchased Content

Subject to applicable law and any technical or contractual limitations of the relevant platform or payment provider, purchased or earned Intra-Project Values, Virtual Items, subscriptions, passes, bundles, or other digital content may be made available for use across supported versions of the Project. However, some purchases, balances, currencies, items, benefits, or promotional content may be limited to the platform, storefront, territory, browser, version, test environment, or account through which they were obtained, and may not be transferable, redeemable, refundable, or visible elsewhere unless we expressly state otherwise.

4. REFUND POLICY

4.1 General Rule

All purchases of Intra-Project Values and Virtual Items are generally final and non-refundable, except where required by applicable law or by the policies of the platform on which you made the purchase.

4.2 Exceptions

We may, under certain circumstances and within our sole discretion, issue refunds. For instance, we may offer refunds (a) within 48 hours of payment, (b) if the purchased items have not been used, and (c) if the purchase did not provide any competitive advantage or affect other users in a material way.

4.3 EU Residents

If you reside in a European Union member state, you may have certain withdrawal rights. However, to the extent permitted by applicable law, you expressly consent to immediate performance of the Service once provision of the relevant Intra-Project Values, Virtual Items, or other digital content begins, and you acknowledge that you may lose your withdrawal right once such performance has begun.

4.4 Requesting a Refund

To request a refund, contact our customer support at support@nextersglobal.com. Refund decisions are final, at our sole discretion, and governed by these Terms, applicable law, and any relevant payment processor or platform policies.

4.5 Platform Refund Channels, Chargebacks and Payment Reversals

If your purchase was made through a third-party platform or payment provider, you may need to submit your refund or billing request directly through that platform or provider, and their terms and technical processes may apply. If a payment is reversed, refunded, charged back, disputed, found fraudulent, or otherwise cancelled, we may suspend or terminate the relevant Account or access to affected content, reverse associated benefits, or require alternative payment before restoring access, subject to applicable law and relevant platform rules.

5. COMMUNITY RULES AND USER CONTENT

5.1 Respectful Interaction

Our community rules aim to ensure a fair, positive, and welcoming environment for all users. You agree to refrain from harassing, threatening, or engaging in any offensive behavior toward other users. This includes but is not limited to:

  • Using abusive, discriminatory, or obscene language.
  • Encouraging hateful or harmful conduct.
  • Disclosing others' personal data without consent.
  • Flooding or spamming chats or forums with repeated messages.

5.2 Prohibited Activities

You must not:

  • Use cheats, bots, or unauthorized third-party software that alters game functionality.
  • Exploit Project bugs, glitches, or vulnerabilities.
  • Buy or sell Intra-Project Values and Virtual Items through unauthorized channels.
  • Share, sell, or trade Accounts.
  • Upload or distribute materials that violate any laws or infringe third-party intellectual property rights.
  • Intercept, scrape, automate, harvest, emulate, or otherwise misuse the browser-based or web version, any login flow, QR code, authentication approval, session token, cookie, local storage element, or other access-control, anti-fraud, or security mechanism of the Project.

5.3 User-Generated Content

When you post or transmit content (e.g., chat, images, videos, or other materials) within the Project ("User Content"), you grant NEXTERS a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license (with the right to sublicense) to use, reproduce, modify, distribute, display, and perform such content for purposes of operating, promoting, or improving the Project.

5.4 Enforcement and Sanctions

Violations of these Community Rules or any part of these Terms may result in warnings, temporary or permanent suspensions, revocation of Intra-Project Values, deletion of Virtual Items, and/or Account termination. Repeated or severe violations may result in stronger penalties.

6. ALPHA, BETA AND OTHER PRE-RELEASE TESTS

6.1 Availability and Eligibility

We may from time to time conduct closed or open alpha tests, beta tests, technical tests, soft launches, regional trials, feature previews, browser pilots, test servers, and other pre-release or experimental activities relating to the Project (collectively, "Pre-Release Tests"). Participation may be by invitation, automatic enrollment of eligible users, separate registration, or any other method we determine. We may decide the eligibility criteria, duration, content, availability, and rules of any Pre-Release Test at our sole discretion and may suspend, modify, or end any Pre-Release Test at any time.

6.2 Nature of Pre-Release Tests

Pre-Release Tests may contain incomplete, unstable, limited, or experimental content and may be subject to bugs, outages, interruptions, limited support, altered balancing or economy, region or platform limitations, separate servers, different payment options, and frequent changes. Unless we expressly state otherwise, progress, rankings, statistics, Intra-Project Values, Virtual Items, purchases, subscriptions, passes, entitlements, or other data associated with a Pre-Release Test may be reset, modified, unavailable, or not transferred to the live Project or to other versions of the Project. Participation in a Pre-Release Test does not guarantee continued access or that any feature, content, or version will be released generally.

6.3 Consent, Permissions and Additional Terms

Where permitted by applicable law, we may conduct Pre-Release Tests without obtaining separate consent from you where the testing forms part of the provision, security, maintenance, troubleshooting, or improvement of the Project, uses the same or reasonably expected categories of data and device functionality already covered by these Terms and our Privacy Policy, and does not otherwise require a separate consent, permission, or authorization under applicable law.

6.4 Feedback and Test Materials

If you provide us with any ideas, proposals, suggestions, feedback, bug reports, comments, screenshots, recordings, test results, or other materials relating to the Project or any Pre-Release Test, you grant NEXTERS a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, sublicensable right to use, reproduce, modify, adapt, translate, create derivative works from, publish, display, perform, distribute, and otherwise exploit such materials for any purpose related to the Project and our business, without notice, approval, or compensation to you, to the extent permitted by applicable law.

7. CHILDREN'S ONLINE PRIVACY AND SAFETY

7.1 Parental Consent

As noted above, children under the age of 18 (or the applicable age of digital consent, legal majority, or other higher threshold in your jurisdiction) must obtain parental or guardian consent before using the Project, including any browser-based or web version or any Pre-Release Test. Parents can learn more about our data processing practices in our Privacy Policy and Parent's Guide.

7.2 COPPA Compliance

If you are a U.S. resident, the Children's Online Privacy Protection Act ("COPPA") requires parental consent for certain data collection activities. For details on how we comply with COPPA, please see our Privacy Policy.

8. ACCOUNT SUSPENSION AND TERMINATION

8.1 Inactive or Disabled Accounts

We reserve the right to permanently delete Accounts that have been inactive for a prolonged period, or that have been voluntarily disabled by you or by us due to these Terms. In certain cases, we may notify you prior to deletion and allow you to pay a maintenance fee in lieu of deletion, if applicable.

8.2 Termination by NEXTERS

If you violate these Terms or our policies, NEXTERS may, at its sole discretion and without notice, restrict your access to the Project, revoke your license to use Intra-Project Values or Virtual Items, and/or terminate your Account without compensation.

8.3 Termination by You

You may stop using the Project and request Account deletion at any time. If you choose to delete your Account, your access to the Project and any associated Intra-Project Values or Virtual Items will be permanently removed without compensation.

8.4 Effect Across Platforms and Test Environments

Termination, suspension, deletion, logout, or security-related restriction of your Account may apply across all supported versions of the Project, remembered browsers, linked devices, and any related Pre-Release Tests. Upon suspension or termination, access to synchronized progress, Intra-Project Values, Virtual Items, purchases, subscriptions, passes, or other entitlements may be restricted or removed without compensation except as required by applicable law.

9. DISCLAIMER OF WARRANTIES

9.1 "As Is" Provision

THE PROJECT AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, NEXTERS DISCLAIMS ANY WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 Security and Reporting

NEXTERS takes system and data security seriously. If you identify a security vulnerability, please report it promptly to info@nextersglobal.com. We investigate all reports thoroughly. However, no method of transmission over the internet or electronic storage is entirely secure.

9.3 Service Interruptions

We do not warrant that the Project or Services will be uninterrupted, error-free, or free from viruses. Any downtime, maintenance, or errors that occur are provided "as is."

9.4 Cross-Platform and Test Limitations

Without limiting the foregoing, we do not warrant that the Project, any browser-based or web version, any linked mobile version, or any Pre-Release Test will be compatible with all devices, browsers, operating systems, regions, or networks, or that any progress, entitlements, purchases, balances, or features will synchronize or remain available across all versions or at all times.

10. LIMITATION OF LIABILITY

10.1 No Indirect Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, DATA, OR REPUTATION) ARISING OUT OF YOUR USE OF, OR INABILITY TO USE, THE PROJECT OR SERVICES.

10.2 Cap on Liability

WHERE PERMITTED BY LAW, THE TOTAL LIABILITY OF NEXTERS FOR ANY CLAIM UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO NEXTERS (IF ANY) FOR THE USE OF THE PROJECT OR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE DATE OF THE CLAIM.

10.3 Some Jurisdictions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

11. DISPUTES AND GOVERNING LAW

11.1 Governing Law

These Terms, and any disputes arising out of or relating to them, shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to conflict-of-law principles.

11.2 Venue

Any claims or disputes must be brought in the competent courts of the Republic of Cyprus, and you consent to personal jurisdiction in those courts. However, we reserve the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect our interests.

11.3 Class Action Waiver (U.S. Residents Only)

If you reside in the United States, you agree that all claims will be handled on an individual basis, and you waive any right to participate in a class or representative action to the fullest extent permitted by applicable law. You may opt out of this class action waiver by sending us a written notice to the contact address listed at the end of these Terms within thirty (30) days after you first accept these Terms. Your notice must include the title of the Project, your full name, mailing address, phone number, email address, any relevant Account ID or username, and a clear statement that you do not agree to the class action waiver. If you validly opt out, this Section will not apply to you; otherwise, this waiver will remain in effect to the fullest extent permitted by applicable law.

12. MISCELLANEOUS

12.1 Severability

If any provision of these Terms is deemed unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from the Terms, and the remaining provisions shall remain valid and enforceable.

12.2 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of future enforcement of that right or provision.

12.3 Force Majeure

NEXTERS shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, or other force majeure events.

12.4 Entire Agreement

These Terms, together with our Privacy Policy, any Cookie Policy or similar notice applicable to the browser-based or web version, our Parent's Guide, and any other policies, guidelines, rules, or additional terms presented within the Project or in connection with purchases, subscriptions, promotions, contests, or Pre-Release Tests, constitute the entire agreement between you and NEXTERS, superseding any prior agreements.

12.5 Language

In the event of any discrepancy between non-English translations of these Terms and the English version, the English text shall prevail.
